Can an SMB be worth $1.5M to one buyer… and $2M to another? Yes—and here’s why: It all depends on how you’re buying it. If you’re using an SBA 7(a) loan, where 80–90% of the purchase price is debt-financed, then cash flow drives the valuation. Not comps. Not seller expectations. Not some fantasy multiple from a VC deck. Let’s say the business generates $500,000 in EBITDA or SDE. Now ask: how much debt can it safely support? 🧮 At 1.25 DSCR, the buyer takes on $400k in annual debt payments. That’s 80% of cash flow—no margin for error. 🧮 At 1.5 DSCR, debt service drops to $333k/year. Now it eats 67% of cash flow. Better, but still tight. 🧮 At 2.0 DSCR (what PE firms prefer), the business supports $250k in debt payments. That’s 50% of cash flow—a healthier, safer deal. Same business. Same cash flow. Three very different valuations. Valuation isn’t fixed. It’s shaped by risk tolerance, capital stack, and how you finance the deal. Before you chase a number, ask yourself: How much of the cash flow are you willing to bet your future on?
