The asset-light hospital model has a blind spot nobody prices in. Lease the building, own the brand and the clinical outcomes, keep capital for equipment and talent instead of real estate — it's how several of India's fastest-growing hospital groups have scaled to multiple facilities within a decade. Capital-efficient, and nothing wrong with it as a model. Here's the part the growth story usually skips. A hospital builds something no lease agreement mentions: a location advantage, a trusted local brand, a referral network, sometimes a legacy the community identifies with. None of that sits on the balance sheet. All of it sits on land the operator doesn't own. So the day a landlord decides to sell — to a competitor, a developer, or the highest bidder in a suddenly-hot micro-market — the operator can lose the one asset it spent a decade building, through no fault of its own performance. This gets sharper still when the land itself is held on a long-term leasehold (government/development-authority structures, common across several Indian cities) rather than freehold — adding transferability questions on top of the ownership question. A few ways operators are ring-fencing this, in roughly increasing order of control: → Right of First Refusal in the lease/O&M agreement — useful, but only if the operator can move fast and fund a matching offer within the notice window. → Long-tenure, registered leases with lock-ins that outlast any financing taken against the business, with no downward-revision clauses. → Pre-emptive ownership through a separate group-owned vehicle, often funded via lease rental discounting against the rentals the hospital already pays — keeps the operating P&L asset-light while moving the real estate risk in-house. → Making sure the lease itself survives a change in landlord, so a buyer inherits the operator's rights instead of a clean slate to renegotiate from. None of this makes asset-light "safe" — each option trades one risk for another (leverage, structuring complexity, governance questions when the same promoters sit on both sides). But for a hospital whose real moat is often just its address and its reputation there, leaving the real estate entirely in someone else's hands is worth a deliberate choice, not a default one. Overhaul of ECB Norms by Reserve Bank of India (RBI) - Moving from a prescriptive, restricted model to a more market-driven, "principle-based" approach. In Feb 2026, RBI notified new regulations which represents the most significant overhaul of the External Commercial Borrowing (ECB) framework in years. For the Real Estate and Infrastructure sectors, these changes are designed to bridge the massive funding gap by easing access to global liquidity. Key Changes: RBI has effectively "uncapped" several legacy restrictions to make Indian debt more attractive to global lenders. 👍Higher Borrowing Limits: The annual per-borrower limit has been raised. Firms can now borrow the higher of $1 billion or 300% of their net worth, significantly increasing headroom for large infra players. 👍Removal of the All-in-Cost Ceiling: RBI scrapped the hard pricing cap (previously tied to benchmark rates like SOFR + certain bps) for ECBs with a maturity of 3+ years. In India, most borrowing deals still run on old-school IGAAP numbers. Lenders tie their covenants to things like Net Worth, Debt–Equity Ratio, DSCR, Interest Coverage Ratio, and EBITDA. The Reserve Bank of India sets the tone here, and you’ll see these rules baked right into sanction letters and financing agreements. Traditionally, everyone just calculated these ratios the usual way—no fair value tweaks, no ballooned balance sheets. Simple. Then came Ind AS, and everything changed. Now, reporting focuses on what’s really happening, not just what’s on paper. You have to recognize lease liabilities (thanks, Ind AS 116), mark financial instruments at fair value (Ind AS 109), and set aside for Expected Credit Losses. Suddenly, debt looks higher, net worth drops, EBITDA doesn’t mean what it used to—even if the business itself hasn’t actually hit a rough patch. So, a company could break its covenants just because of accounting rules, not because it’s in trouble. That’s why borrowers and lenders have to stay on the same page. Banks are now adding “frozen GAAP” clauses, Ind AS carve-outs, or covenant resets to keep these accounting shifts from messing things up. Finance teams have to get good at bridging the gap between the old numbers and the new ones, hammering out clear covenant definitions upfront, and keeping lenders in the loop.
