Terms of Service

These Terms of Service (the "Terms") are an agreement between you and QuantumDesk LTD ("QuantumDesk," "we," "us," or "our") for your use of Codebase, including its websites, applications, APIs, project builder, preview and publishing tools, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who may use Codebase

You must be at least 18 years old and legally able to enter into this agreement. If you use Codebase for a company or other organization, you represent that you have authority to bind it to these Terms.

2. Accounts

You must provide accurate account information, keep your credentials secure, and promptly tell us if you believe your account has been compromised. You are responsible for activity performed through your account unless caused by our breach of these Terms or failure to use reasonable security measures.

3. The Service

Codebase uses AI-assisted workflows to generate, edit, preview, and publish software projects. Features, model availability, limits, and supported integrations may change as the Service develops. We may modify or discontinue a feature, but we will give reasonable notice when a change materially reduces a paid feature you are currently using.

AI output can be incomplete, inaccurate, insecure, or similar to material that exists elsewhere. You are responsible for reviewing, testing, licensing, and securing output before relying on it or publishing it. Codebase is not a substitute for professional legal, financial, medical, security, or engineering advice.

4. Your content

You retain ownership of prompts, project files, generated output, and other content you submit to or create with the Service ("User Content"), to the extent the law allows ownership of that content. You grant us a limited, worldwide, non-exclusive license to host, copy, transmit, process, and display User Content only as needed to provide, secure, maintain, and support the Service, comply with law, and follow your instructions.

We do not use your prompts, project files, or generated code to train our own or third-party foundation models without your explicit permission.

You represent that you have the rights needed to submit User Content and that your use of it through Codebase does not violate law or another person's rights.

5. Public projects and forks

Private projects remain private to your account and people you authorize. If you publish a project to a public gallery, you authorize us to display it and allow other users to fork it into their accounts. Unpublishing or deleting the original does not remove copies that other users already made. Do not publish secrets, personal information, or material you do not want copied.

6. Acceptable use

You may not use the Service to:

  • violate law or another person's rights;
  • create, distribute, or operate malware, credential theft, phishing, spam, or systems intended to cause unauthorized harm;
  • exploit, probe, or disrupt Codebase or another user's systems without permission;
  • bypass access controls, rate limits, usage limits, or billing controls;
  • impersonate another person or misrepresent the origin of content;
  • store or process payment-card data, protected health information, or other specially regulated data without a separate written agreement with us; or
  • resell access to the Service or use it to build a directly competing hosted model service unless we agree in writing.

Security research conducted in good faith under our published security policy is not prohibited by this section.

7. Plans, subscriptions, and credits

Prices, included usage, billing intervals, and plan limits are shown at checkout. Paid subscriptions are billed in advance through Stripe and renew automatically until canceled. You may cancel through the billing portal; access continues through the end of the paid billing period unless the checkout terms say otherwise.

Charges are non-refundable except where required by law. Contact [email protected] promptly about duplicate or incorrect charges; we may issue a refund or service credit when appropriate.

Service credits and included usage are licenses to consume the Service. They are not money, stored value, securities, or property; they cannot be transferred or redeemed for cash and may expire or reset as described by the plan or purchase offer. We may correct credit balances affected by fraud, chargebacks, refunds, or technical errors.

We may change future prices or plan limits. A change will not alter a billing period you already paid for, and we will provide notice before a material change applies to the next renewal.

8. Third-party services

Codebase may use or connect to model providers, identity providers, payment processors, hosting platforms, deployment targets, and other third-party services. Their terms may apply to your direct use of those services. We are not responsible for third-party services outside our control, but our handling of your personal information remains subject to our Privacy Policy.

9. Codebase intellectual property

These Terms do not transfer ownership of Codebase, our software, trademarks, designs, documentation, or other proprietary material. Any open-source software we distribute remains governed by its applicable license.

10. Suspension and termination

You may stop using the Service or request account deletion at any time. We may suspend or terminate access when reasonably necessary to address a violation of these Terms, non-payment, fraud, security risk, legal requirement, or material harm to the Service or others. When practical, we will provide notice and an opportunity to correct the issue.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive, including ownership, payment obligations, warranty disclaimers, liability limits, and dispute terms, will survive.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE OR AI-GENERATED OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PURPOSE.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTUMDESK LTD AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.

These limits do not apply where prohibited by law or to liability that cannot legally be limited.

13. Indemnification

If you use the Service for a business or organization, that business or organization will defend and indemnify QuantumDesk LTD against third-party claims arising from its unlawful User Content, its material violation of these Terms, or its infringement of another person's rights. This section does not apply to individual consumers acting solely for personal purposes where prohibited by law.

14. Governing law and disputes

Ohio law governs these Terms, without regard to conflict-of-law principles. Unless applicable consumer law requires otherwise, disputes must be brought in a state or federal court with jurisdiction in Ohio, and each party consents to that court's jurisdiction. Before filing a claim, each party agrees to make a good-faith effort for 30 days to resolve it by contacting the other party.

Nothing in this section prevents either party from seeking urgent injunctive relief or using an eligible small-claims court.

15. Changes to these Terms

We may update these Terms as the Service or law changes. We will post the updated version and its effective date. For material changes, we will provide reasonable advance notice by email or in the Service when practical. Continuing to use the Service after the new Terms take effect means you accept them.

16. General terms

If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, or sale of the Service. These Terms and incorporated policies are the entire agreement about the Service unless we sign a separate agreement with you.

Nothing on Codebase about a possible token, coin, reward, or digital asset is an offer to sell or solicitation to buy a security or financial instrument, or investment, legal, or tax advice. Any future launch would be governed by separate terms and disclosures.
