1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Codetribe (“we,” “our,” or “us”) governing your access to and use of the Codetribe platform, including the website located at codetribe.com, app.codetribe.com, and all associated services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Platform.

If you are using the Platform on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, you must not accept these Terms or use the Platform on behalf of such entity.

2. DEFINITIONS

“User” refers to any individual who accesses or uses the Platform, whether as a Student, Teacher, Parent, or Organization Administrator.

“Student” refers to any individual who accesses the Platform for learning purposes, whether registered individually or through a Teacher or Organization.

“Teacher” refers to any individual who creates content, manages Students, or facilitates learning on the Platform.

“Organization” or “Tenant” refers to schools, educational institutions, or other entities that register on the Platform to manage multiple Teachers and Students.

“Content” refers to all text, information, data, software, executable code, images, audio, video, and other materials that may be available on the Platform or transmitted through the Services.

“User Content” refers to Content that Users submit, upload, or transmit to, through, or in connection with the Platform, including lessons, courses, code, comments, and feedback.

“Guest Use” refers to access to specific lessons or modules through direct links without the need for registration on the Platform.

3. ACCOUNT REGISTRATION AND REQUIREMENTS

3.1 Account Creation

To access certain features of the Platform, you may be required to register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Types

The Platform offers different types of accounts, including:

Student Accounts: For individuals accessing educational content
Teacher Accounts: For educators who create and manage content and Students
Parent Accounts: For parents or guardians who manage Student accounts
Organization/Tenant Accounts: For institutions managing multiple Teachers and Students

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Immediately notify us of any unauthorized use of your account
Ensure that you exit from your account at the end of each session
Not share your account credentials with third parties

3.4 Age Requirements

The Platform is intended for users of all ages; however, users under the age of 13 require parental consent or teacher authorization as outlined in our Privacy Policy. By creating an account for a person under 13 years of age, you represent that you are either:

The parent or legal guardian of such person and consent to the collection, use, and disclosure of their personal information as described in our Privacy Policy; or
A teacher or school administrator with the authority to act as an agent of the parent or legal guardian and provide such consent.

4. SERVICES DESCRIPTION

4.1 Educational Platform

Codetribe is an educational platform focused on teaching coding and related skills through interactive lessons, projects, and exercises. Our services include but are not limited to:

Access to educational content and coding exercises
Interactive coding environments
AI-powered tutoring and assistance
Progress tracking and assessment tools
Content creation tools for Teachers
Classroom management tools
Content marketplace for sharing and discovering lessons

4.2 Content Access

Access to certain content and features may be restricted based on your account type and subscription level.

4.3 Guest Use

The Platform allows Teachers to share specific lessons with Students through our “Guest Use” feature, which provides access without registration. During Guest Use:

No personal information is collected from the Student
Progress and activity are not saved
Full Platform features may not be available

4.4 Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of the Platform or Services at any time without prior notice or liability. We will make reasonable efforts to maintain the Platform’s availability but do not guarantee uninterrupted access.

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Subscription Models

The Platform offers both free and paid subscription options:

Free Accounts: Access to basic features with certain limitations
Paid Subscriptions: Access to premium features based on the subscription type

5.2 Subscription Tiers

Paid subscriptions are available for:

Individual Teachers/Parents
Schools
Organizations/Tenants

Each tier offers different features and capabilities as described on our pricing page.

5.3 Free Trials

We may offer free trials of paid subscriptions. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

5.4 Payment and Billing

For paid subscriptions:

Payment is due in advance for the applicable subscription period
You authorize us to charge your payment method for all fees incurred
Prices are exclusive of taxes unless stated otherwise
Subscriptions automatically renew unless canceled before the renewal date

5.5 Refunds

Refunds are provided in accordance with our refund policy, which may vary based on subscription type and circumstances.

5.6 Changes to Pricing

We reserve the right to change our prices at any time. If we change the subscription fee for a service you are already paying for, we will provide notice of the change and the opportunity to cancel before the change takes effect.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Codetribe IP

The Platform, including its original content, features, and functionality, is owned by Codetribe and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
You may store files that are automatically cached by your web browser for display enhancement purposes
You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution

6.2 User Content License

By creating, posting, or sharing User Content on or through the Platform, you grant the following licenses:

For Free Account Users: You grant to Codetribe and other Platform users a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

For Paid Account Users: You retain more control over your content based on your subscription level, including the ability to mark content as private.

These licenses enable features such as allowing other Teachers to use your lessons, displaying your content in the marketplace, and enabling Students to interact with your content.

6.3 Attribution Requirements

When User Content is shared or remixed on the Platform, attribution to the original creator is required and should be maintained whenever feasible. However, Codetribe is not liable for instances where attribution may be removed or altered by third parties after content has been shared, remixed, or distributed beyond our Platform. We make reasonable efforts to maintain attribution systems but cannot guarantee attribution will be preserved in all circumstances or across all third-party uses.

6.4 Third-Party Content

Content sourced from third parties must be properly attributed to the original creator or copyright holder. For example, courses copied or adapted from external sources should include clear attribution such as: “This course is created by [Original Source]. Check [link] for more information.”

6.5 User Representations

By posting User Content, you represent and warrant that:

You own or have the necessary rights to share the content and grant the licenses described above
The content does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights
The content does not contain material that is defamatory, obscene, offensive, or otherwise objectionable

7. USER CONTENT AND CONDUCT

7.1 Content Guidelines

You agree not to create, post, share, or transmit any User Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another’s privacy
Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
Contains software viruses or any other code designed to interrupt, destroy, or limit the functionality of computer software or hardware
Impersonates any person or entity or misrepresents your affiliation with a person or entity
Contains inappropriate, discriminatory, or offensive material
Promotes illegal activities or contains instructions for illegal activities

7.2 Educational Context

All User Content should be appropriate for an educational context. Content must be suitable for the intended audience, including consideration for age-appropriate material for Students.

7.3 Code of Conduct

When using the Platform, you agree to:

Treat other users with respect
Use the Platform only for its intended educational purposes
Not attempt to circumvent any security measures or access restrictions
Not engage in any activity that could harm the Platform or interfere with its operation
Not use the Platform to send unsolicited communications or for commercial solicitation

7.4 Monitoring and Enforcement

We reserve the right, but not the obligation, to:

Monitor the Platform for violations of these Terms
Remove or refuse any User Content that violates these Terms or is otherwise objectionable
Restrict or terminate access to the Platform for violations of these Terms
Take appropriate legal action for illegal or unauthorized use of the Platform

8. MARKETPLACE CONTENT

8.1 Marketplace Description

The Platform includes a marketplace where Teachers can share, discover, and utilize educational content created by other users. The marketplace is currently available for free use by all eligible users.

8.2 Content Responsibility

Teachers and content creators are solely responsible for the content they publish to the marketplace. Codetribe does not actively monitor or moderate marketplace content but reserves the right to remove content that violates these Terms.

8.3 Content Moderation

If you encounter content that you believe violates these Terms or is otherwise inappropriate, please contact support ( at ) codetribe.com with the subject line “Content Moderation Request” and include the link and title of the lesson or course in question.

8.4 Use of Marketplace Content

Content available in the marketplace may be used according to the licenses granted by the content creators as described in Section 6.2. Users must respect attribution requirements and any usage restrictions specified by the content creator.

8.5 Content Quality

Codetribe makes no representations or warranties about the quality, accuracy, reliability, or suitability of marketplace content. Users access and use marketplace content at their own risk.

9. AI FEATURES

9.1 AI Service Description

The Platform incorporates various artificial intelligence features, including but not limited to:

AI-powered coding tutors and assistants
Automated content generation tools
Personalized learning recommendations
Code analysis and feedback

9.2 AI Limitations and Disclaimers

By using the AI features, you acknowledge and agree to the following:

AI-generated content may contain errors, inaccuracies, or inappropriate material
AI tutoring is supplemental and not a replacement for teacher instruction
AI outputs may vary and are not guaranteed to be correct, complete, or optimal
Code suggestions should be reviewed and tested before implementation
AI systems may have biases or limitations that affect their outputs

9.3 AI Data Processing

When using AI features, certain data may be processed by third-party AI service providers. This processing is subject to our Privacy Policy and the terms of service of our AI service providers.

9.4 Teacher Control

Teachers and Organizations may have the ability to enable or disable AI features for their Students. Users agree to respect any AI feature restrictions implemented by their Teacher or Organization.

10. ORGANIZATION AND SCHOOL ACCOUNTS

10.1 Organization Structure

Organizations (Tenants) can register on the Platform to manage multiple Teachers, Schools, and Students. The Organization structure includes:

Organization Administrators: Users with highest-level permissions who can manage all aspects of the Organization account
Schools: Sub-units within the Organization that can be managed by assigned Teachers
Teachers: Users who create and manage content and oversee Student activities
Students: End users who access educational content

10.2 Organization Administration

Organization Administrators have the ability to:

Create and manage School units within the Organization
Invite and manage Teachers and Students
Set permissions and access levels
Monitor usage and progress across the Organization
Delete or modify any content, School, Teacher, or Student within the Organization

10.3 School Management

Schools are managed by the Teacher who created them or by Organization Administrators. Teachers can invite other Teachers to their School, and all Teachers within a School have access to content created by other Teachers in that School by default.

10.4 Organization Responsibilities

Organizations are responsible for:

Ensuring compliance with these Terms by all users within their Organization
Obtaining appropriate consent for the collection and use of Student data
Managing user access and permissions
Maintaining the security of their account
Properly handling Student data in accordance with applicable laws

11. PRIVACY AND STUDENT DATA

11.1 Privacy Policy

Our Privacy Policy, available at [link to Privacy Policy], describes how we collect, use, and share information about users, including Students. The Privacy Policy is incorporated into these Terms by reference.

11.2 Student Data

We are committed to protecting the privacy of Student data, particularly for Students under the age of 13. Our collection and use of Student data comply with applicable laws, including the Children’s Online Privacy Protection Act (COPPA) in the United States.

11.3 Teacher and School Responsibilities

Teachers and Schools using the Platform are responsible for:

Obtaining appropriate parental consent for Students under 13
Complying with applicable education privacy laws
Using Student data only for legitimate educational purposes
Maintaining the confidentiality of Student information

11.4 Data Security

We implement reasonable security measures to protect the data on our Platform, but we cannot guarantee absolute security. Users are responsible for maintaining the security of their account credentials and for any activities that occur under their account.

12. ACCOUNT SUSPENSION AND TERMINATION

12.1 Termination by User

You may terminate your account at any time by following the instructions on the Platform or by contacting us at support ( at ) codetribe.com.

12.2 Termination by Codetribe

We may suspend or terminate your access to the Platform, in whole or in part, at our sole discretion, for any reason, including but not limited to:

Violation of these Terms
Extended account inactivity
Engagement in fraudulent or illegal activities
Creation or distribution of harmful content
Use of the Platform in a manner that could harm other users or the Platform itself

12.3 Effect of Termination

Upon termination:

Your right to access and use the Platform will immediately cease
We may delete or deactivate your account and all related information and files
We may prohibit your access to any aspect of the Platform
User Content you have shared may remain available on the Platform according to the licenses granted in Section 6

12.4 Data Retention After Termination

Following termination, we will delete Student data within 30 days, except where we are legally required to retain such information. Some information may be retained in backup systems for a limited time in accordance with our Privacy Policy.

13. DISCLAIMERS

13.1 “As Is” Basis

THE PLATFORM AND ALL CONTENT AND SERVICES AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODETRIBE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.3 Educational Content

Codetribe does not guarantee that the educational content on the Platform is complete, accurate, or up-to-date. The content is provided for general information and educational purposes only and should not be relied upon as professional advice.

13.4 User Content

Codetribe is not responsible for the content, accuracy, or reliability of any User Content posted on the Platform. Users access and use such content at their own risk.

13.5 Platform Availability

Codetribe does not guarantee that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected. Codetribe is not liable for any damages resulting from your access to or inability to access the Platform.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODETRIBE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
ANY CONTENT OBTAINED FROM THE PLATFORM; AND
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Codetribe, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Your violation of these Terms;
Your User Content;
Your use of the Platform; or
Your violation of any rights of another.

16. DISPUTE RESOLUTION

16.1 Informal Resolution

Before filing a claim against Codetribe, you agree to try to resolve the dispute informally by contacting us at support ( at ) codetribe.com. We’ll try to resolve the dispute informally by contacting you via email.

16.2 Arbitration

If we cannot resolve a dispute informally, you and Codetribe agree to resolve any claims related to these Terms through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

16.3 Arbitration Procedures

The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in New York, New York, or at another location mutually agreed upon by the parties.

16.4 Exceptions to Agreement to Arbitrate

Either party may assert claims in small claims court if the claims qualify. Either party may seek injunctive or other equitable relief in any court having jurisdiction to protect that party’s intellectual property rights or to prevent irreparable harm.

16.5 Class Action Waiver

ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. NEITHER PARTY SHALL JOIN OR CONSOLIDATE CLAIMS WITH THOSE OF ANY OTHER PERSON OR ENTITY.

17. GOVERNING LAW

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

18. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the Platform, or by other means, to provide you the opportunity to review the changes before they become effective. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.

We encourage you to periodically review these Terms for any changes. If you do not agree to the modified Terms, you should discontinue your use of the Platform.

19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Codetribe concerning your use of the Platform.

19.2 Waiver

The failure of Codetribe to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

19.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Codetribe’s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null. Codetribe may assign or transfer these Terms, at its sole discretion, without restriction.

19.5 Notices

Any notices or other communications provided by Codetribe under these Terms will be given by posting to the Platform or, at Codetribe’s discretion, by email to the address you provide as part of your account information.
