These Terms of Service ("Terms", "Terms of Service") govern your relationship with the timingapp.com website and the Timing application (the "Service") operated by Timing Software GmbH ("us", "we", or "our").

Please read these Terms of Service carefully before using our website and the Timing application (the "Service"). It provides a license to use the Timing software and contains warranty information and liability disclaimers.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

If you download a free trial of the Timing software, this agreement will also govern that trial. By installing and/or using the Timing software, you are confirming your acceptance of these Terms and agreeing to become bound by the terms of this agreement.

These terms also apply to any Timing updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this agreement, do not install or use the Software, and you must not accept this agreement.

1. Scope of application, changes

1.1. These Terms of Use apply to the use of the software “Timing” (hereinafter also referred to as “app” or “software”) as well as all related services, and regulate the contractual relationship between us, Timing Software GmbH, represented by the Managing Director Daniel Gräfe, Marie-Deubler-Str. 14, 82061 Neuried, Germany (hereinafter referred to as “Timing software” or “we”) and the users of Timing (hereinafter referred to as “you” or “user”). They apply in the version that is current at the time of the conclusion of the contract and for both the use of the free trial version and the use of the paid full version.

1.2. We reserve the right to change these Terms of Use, even for ongoing subscriptions, if this becomes necessary due to changes in the legal situation, the supreme court rulings, or the market conditions. In this case, we will inform you via e-mail about the planned changes. We will attach to the e-mail the Terms of Use, with the planned changes highlighted. You will then have the option to object to the planned changes within 14 days upon receipt of the e-mail. If we do not receive an objection from you within this period, the changes shall be deemed to have been tacitly accepted by you. In the respective e-mail, we will expressly notify you of this legal consequence once again. If you object to the changes, we are entitled to terminate the user contract with immediate effect; in this case you will receive a refund of the usage fee already paid for the remaining period of the regular contract term.

2. Subject of use

2.1. These Terms of Use regulate the use of our softwareTiming, a time tracking software for MacOS. Timing helps you to keep track of what you have worked at on your Mac computer.

2.2. Timing’s scope of function is defined in the software description, which can be viewed at https://timingapp.com/, the pricing table at https://timingapp.com/pricing, and the version history, which is available at https://timingapp.com/changes. If you purchase Timing via setapp.com, you can see the slightly limited scope of functions there.

2.3. Part of Timing are the services Timing Sync and Timing Web App. They enable you to synchronize your data collected with Timing on several Mac computers. Furthermore, you can view these data on any internet-enabled device via a browser. For the use of Timing Sync and Timing Web App you are required to create a user account.

2.4. We explicitly reserve the right to continuously adapt the scope of functions and the interface of Timing. Apart from the expansion of the scope of functions, this may also entail a restriction of functions and a change of the user experience.

2.5. We make Timing available to you on a subscription basis. A purchase of Timing or the acquisition of a perpetual license is not possible.

3. Updates and maintenance, availability

3.1. We strive to constantly improve Timing in order to offer you the best possible user experience. For this purpose, we provide free updates of the software from time to time. However, the user has no right to continuous updates, bug fixes, or enhancement of functions.

3.2. Furthermore, we strive to ensure the greatest possible availability of the online services Timing Sync and Timing Web App. However, a specified availability per month or year is not owed. In order to ensure the availability of our web services for all users, we reserve the right to throttle access to them, and/or restrict access in the event of a high server load. In particular, we reserve the right to exclude individual users from our web services if they cause a disproportional server load.

4. Free trial version

4.1. You have the option to use Timing free of charge once for a period of 14 calendar days from the date of installation. The trial version has the same functionality as the full version of the “Timing Connect” subscription. In order to use the free trial version, you only need to download and install Timing on your Mac computer.

4.2. Every user can make use of the free trial version only once. If you wish to continue to use Timing after the trial period has expired, you must purchase a paid subscription. It is explicitly forbidden to make use of the trial period more than once.

4.3. There is no legal claim to the use of the trial version. Timing Software reserves the right to exclude users of the trial version from the use of Timing at any time and without giving reasons.

5. Subscription to the full version, usage charges

5.1. If you would like to use Timing beyond the 30-day trial period, you can subscribe to the full version via our website at https://timingapp.com/pricing. The subscription is concluded through our reseller, paddle.com Market Limited, Great Oakley, CORBY, NN18 8JG, Great Britain (hereinafter referred to as “Paddle”), which acts as a so-called Merchant of Record. The contract you enter into with Paddle is supplemented by these Terms of Use.

5.2. To conclude a subscription, the user must select a payment method and provide valid payment information during the order process. The user will be shown the available payment methods in the order process. Continuous access to the app after the end of the trial period will in any case only be activated after the payment has been made.

5.3. The amount of the monthly or annual usage fee for the use of Timing depends on the choice of subscription (“Professional”, “Expert”, or “Connect”) and the payment method (monthly or annually). The prices and terms of use stated at the time of the conclusion of the contract at https://timingapp.com/pricing apply. All prices quoted include the statutory value-added tax.

5.4. We reserve the right to adjust our prices due to market changes or in order to compensate for inflation. We will announce price increases to you in good time. These shall only take effect at the next contract cycle (month or year). Until this time you are entitled to object to the price increase. If you object to the announced increase in price, your subscription will not be renewed at the end of the contract period.

5.5. The user shall pay the usage fee for the selected contract period (month or year) in advance to Paddle via the selected payment method.

5.6. Refunds of already paid usage fees are generally not provided. Exceptions will be considered at the sole discretion of Timing Software. In particular, no refunds will be made for payments made more than 30 days ago.

5.7. Within the scope of contractual freedom, we reserve the right to reject individual subscription orders without providing a reason.

6. Discount codes

6.1. From time to time we issue discount codes, which enable the recipient to receive a discount on the usage fee when concluding a Timing subscription. There is no entitlement to any payment of discounts.

6.2. Individual discounts, which are sent to you directly, are valid only once. After it was issued, the discount code will automatically expire after 21 calendar days, unless otherwise stated at the time of its transmission.

6.3. Published discount codes can be used by several persons, but only once per person. Unless otherwise specified in the publication, the discount codes are valid for 30 calendar days from the day of their publication.

7. Referral program

7.1. In the context of our referral program, existing subscribers can refer new subscribers. The conditions of this section apply.

7.2. Only users who are registered users and subscribers of Timing can take part in the referral program. Free trial users cannot participate. Recruited persons must have never signed up for a Timing subscription before. Each person can only be recruited once. Up to 6 new subscribers per calendar year may be recruited by each recruiter.

7.3. In order to recruit a new subscriber and earn a bonus, the recruiter must create a referral link on their Timing subscription management page, and provide the link to the new subscriber. The bonus will be paid when the new subscription is ordered via that link. The provision of the link must be made exclusively via personal communication with friends or acquaintances. The sending of bulk e-mails or mass messages of any kind and the publication of the link on the Internet and the use of automated systems or bots for the spread of the link is prohibited.

7.4. For successful recruitment, the recruiter and the recruiter each receive a person month (i.e. 30 days divided by the number of seats in the subscription) of additional run time for their respective subscription (hereinafter referred to as “the bonus”).

7.5. There is no claim to the bonus if

  • the recruited person has already received a bonus through the referral program,
  • the recruiter and the recruited person are the same person or members of the same household,
  • the recruiter and the recruited person work (directly or indirectly) for the same company or person,
  • the recruited person exercises their right of withdrawal from the contract,
  • the recruited person violates or cancels their contract with Timing or
  • the provisions of this section are not complied with.

7.6. A further condition for receiving the bonus is that the recruited person must use a browser without an ad blocker, as otherwise the attribution to the recruiter may not take place.

7.7. A combination with the affiliate program mentioned below is not possible.

7.8. Users who violate the provisions of this section may be permanently excluded from both the referral and affiliate programs.

8. Affiliate program

8.1. In the context of our affiliate program, which you can find at timingapp.com/affiliate, you have the opportunity to receive a commission when you recruit new subscribers to Timing.

8.2. Persons belonging to your household or business cannot be recruited. You may not run paid ads in order to get clicks on your affiliate link.

8.3. Within the scope of contractual freedom, we reserve the right to exclude individuals from participation in the affiliate program without giving reasons. In particular, "coupon code" and other "deal" websites are not allowed to participate in the affiliate program.

8.4. When visitors use a browser with an ad or tracking blocker, successful recognition of the affiliate conversion can't be guaranteed.

8.5. This program can't be combined with the referral program mentioned above.

9. Contract period, termination

9.1. Depending on the selected subscription, the contract term is one month or one year. At the end of the contract period, your subscription will be automatically renewed for another month or another year, unless one of the parties terminates it beforehand with a notice period of one calendar day to the end of the contract.

9.2. In order to terminate your subscription, you can use the corresponding function in the app under “Timing > Manage Subscription”, or you can send us a message. When you conclude your contract, you will also receive an e-mail with a link for managing your subscription. If you do not use the termination function in the app, the termination must be at least in written form to be effective.

9.3. In general, you have the option to change your subscription during the term of the contract, provided that you opt for a subscription with a greater range of functions or usage (upgrade from “Professional” to “Expert” or “Connect”, or from “Expert” to “Connect”). If you have initially opted for a monthly subscription period, you may switch to an annual subscription. In this case, the contract period initially selected by you will start anew. However, within the scope of contractual freedom we reserve the right to refuse a change in individual cases without giving reasons.

9.4. The right to an extraordinary termination for important reasons remains unaffected. In particular, Timing Software is entitled to an extraordinary termination of the user contract if

  • the user violates obligations arising from these Terms of Use, in particular license terms, or if
  • the user uses the app in an abusive manner, in particular for the surveillance of other persons.

10. General user obligations

10.1. The user agrees to not misuse Timing. The user undertakes to refrain from activities in connection with Timing that violate current legislation, infringe the rights of third parties or violate the principles of the protection of minors.

10.2. The user is not entitled to use programs, algorithms or other software in connection with the use of Timing that may disrupt the functioning of the software. In particular, the user must not take any measures that may result in an unreasonable or excessive strain on the infrastructure of the app or interfere with it in a disruptive manner.

10.3. When you create a user account, you will be asked to set a password. You can use this to log into the Timing app after clicking on the activation link. The user must keep both the access data and the password secret and make sure that they are not accessible to unauthorized third parties. In particular, this includes the selection of a secure password (at least eight characters, consisting of upper-case characters, lower-case characters, numbers and special characters). It is the user’s responsibility to assure that the use of Timing via his/her user account is only carried out by authorized persons.

10.4. The user is obliged to provide truthful information to Timing Software and Paddle. Furthermore, the user is obliged to keep the registration data up-to-date. Should the data provided change during the period of use, the user shall inform Timing immediately.

10.5. It is the user’s responsibility to ensure before the conclusion of a subscription that the hardware intended for the use of Timing meets the technical system requirements.

11. Timing for Teams

11.1. If you subscribe to the “Connect” plan for several users, you have the option to name one or more users as team admins. The other members of the team can give the team admin access to their data collected by Timing. If a user joins a team, the team admins will automatically get access to the time periods the user records for projects in this team.

11.2. We explicitly point out that data protection or labor law provisions may have to be observed when access is granted by team members. The user is solely and exclusively responsible that these legal provisions are met. Timing for Teams is intended to support you in the efficient cooperation and the billing of your employees in relation to the customer. Surveillance of other persons, in particular employees, is not permitted.

12. Right of use

12.1. The software Timing, as well as its content (in particular graphics, logos, texts, layouts, databases etc.) are protected by copyright. Timing Software GmbH is the exclusive owner of the rights of use. This also apples to the website timingapp.com, as well as all its sub-pages and their content.

12.2. The user is entitled to use the Timing software for the duration of the subscription and for the intended purposes. Timing therefore grants the user a right of use to the software Timing and the associated services that is

  • simple,
  • limited in time to the duration of the one-time free trial period or the paid subscription,
  • limited in content to the use for the intended purposes,
  • not sublicensable.

12.3. Duplication of the software is only allowed to the extent that is permitted under the terms of the respective subscription. Depending on the selected subscription, Timing can be used by one user on up to four devices, or by up to four users on one device. The user account required for the use of Timing Sync and Timing Web App may only be used by one person respectively.

12.4. The user is not permitted to pass the software to third parties, whether in return for payment or free of charge. Also, the user is not permitted to modify or decompile the software or parts thereof, or to insert it into another software, or to connect it with another software. Furthermore, the user is expressly prohibited from reverse engineering, disassembling, or attempting to discover the file format, database structure, or data storage mechanisms used by the Timing software.

13. Data protection & user data

13.1. Personal data of the users will be processed by us in strict compliance with data protection laws, in particular the European General Data Protection Regulation (GDPR) and the Federal Data Protection Act (FDPA). Further information on data protection can be found in our privacy policy, available at https://timingapp.com/privacy.

13.2. If you use Timing Sync, we will store the date recorded by Timing about the use of your Mac computer for you for 30 calendar dates after the end of the subscription. If the subscription is not renewed within this 30-day period, the data will automatically be irrevocably deleted. It is the users’ responsibility to create a backup of these data if they wish to use the data beyond the 30-day period. Regardless of the use of Timing Sync, the recorded data will always be stored locally on the Mac device you are using.

14. External links

14.1. Our software and our websites occasionally contain links to online offers and web presences of third parties. This is only done as a service for the user.

14.2. Despite careful control of the content, Timing Software does not assume any liability for the content of external links. The operators of the linked pages are solely responsible for their content.

15. Liability

15.1. Timing Software is liable without limitation for intent and gross negligence.

15.2. For simple negligence, Timing Software shall be liable only

15.2.1. for damages resulting from injury to life, body or health or violation of an essential contractual obligation (an obligation which is fundamental to the proper execution of the contract, and which the contractual partner can, and may, regularly rely upon to be properly executed),

15.2.2. under the Product Liability Act (ProdHaftG),

15.2.3. under the General Data Protection Regulation (GDPR) and

15.2.4. under other legal provisions, if and to the extent that these prescribe liability or do not allow a limitation of liability and/or an exclusion of liability.

In the event of a simple negligent violation of fundamental contractual obligations, Timing Software’s liability is limited to the amount of the foreseeable, typically occurring damage.

15.3. Otherwise, Timing Software’s liability is excluded.

15.4. The above-mentioned limitations of liability also extend to the legal representatives and vicarious agents of Timing Software.

16. Final provisions

16.1. The contractual relationship shall be governed exclusively by the laws of the Federal Republic of Germany, under the exclusion of the United Nations Convention of Contracts for the International Sale of Goods.

16.2. Should individual provisions of these Terms of Use, including this provision, be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The invalid or missing provisions shall be replaced by the respective legal provisions.

16.3. If the customer is a business person, a legal entity under public law, or a special fund under public law, the place of jurisdiction of all disputes arising from, and in connection with, contracts concluded under these Terms of Use shall be the registered office of Timing Software.
