The company operates the Pharmapacks platform and helps large and small brands grow their businesses on third-party marketplaces including Amazon, Walmart, eBay, Target, Kroger, and Google Shopping, among others, and also manages several direct-to-consumer sites on behalf of brands. In addition to our $300m cash in trust we have raised $180 million in a significantly oversubscribed and upsized PIPE offering and Pre-IPO convertible investment anchored by top tier institutional investors including Fidelity Investments, Luxor Capital, Lugard Road Capital, Park West Asset Management and Morningside. After 10+ years at Castlight, I am thrilled to be able to step away with the knowledge that the company is in such great hands with our new CEO Donald Trigg and investors Ron Williams, Ravi Sachdev, and Dan Mendelson. I joined Castlight as a product manager when the company was 30 people. I was lucky enough to experience multiple chapters of Castlight's journey, from pre-revenue/ pre-product to hyper growth to IPO to M&A to transformation. Leading Castlight through its turnaround as a public company through COVID was absolutely the hardest thing I have ever done and absolutely the most rewarding. It would never have been possible without help from a team far too large to name. The executive team through the turnaround, Will Bondurant, Tamar Rudnick, Robert Stewart; Castlight "boomerangs" like Frank Jennings, Dena Bravata M.D., M.S., Holly Delisi; new talented executives like Vijay Anand, Scott Tweedy, Matthew J. (Nasdaq: VWAV) (“VisionWave” or the “Company”) announced today that it has completed assembling its full due-diligence team for the proposed acquisition of Solar Drone Ltd., a wholly-owned subsidiary of BladeRanger Ltd. (TASE: BLRN), as previously disclosed in the Company’s LOI and Form 8-K filings. The Company has mobilized a combined force of legal, technical, regulatory, financial, strategic, and advisory professionals who are now working day and night—both on-site in Israel and remotely from the United States—to advance the transaction toward execution of the definitive agreement as soon as practicable. This week in venture deals that matter for America (#AmTech): Saronic Technologies raised $1.75 billion in Series D funding at a $9.25 billion valuation led by Kleiner Perkins, with participation from Advent International, Bessemer Venture Partners, DFJ Growth, BAM Elevate, 8VC, Caffeinated Capital, Andreessen Horowitz, Elad Gil, and Franklin Templeton. Saronic designs and mass-manufactures autonomous surface vessels for the U.S. Navy and other defense customers. The Navy wants to make half its surface fleet unmanned, and last year awarded Saronic a $392 million production contract for its 24-foot Corsair, an unmanned vessel that costs under $2 million and can carry heavy payloads up to 1,000 nautical miles. Founders: Dino Mavrookas, Vibhav A., Doug Lambert, Rob Lehman. ThinkLabs AI, Inc. raised $28 million in Series A funding led by Energy Impact Partners, with participation from nVentures (NVIDIA), Edison International, GE Vernova, Powerhouse Ventures, Active Impact Investments, Blackhorn Ventures, Amplify Capital, and a large North American utility. ThinkLabs builds physics-informed AI "grid twin" models that help electric utilities plan and operate power grids under rising demand. As AI data centers put new strain on the American grid, utilities need better tools to figure out where they can add load without breaking things. Founder: Josh Wong. NomadicML raised $8.4 million in funding led by TQ Ventures, with participation from Pear VC, Jeff Dean, Scott Wu and other angels and executives. Nomadic builds a spatial intelligence and visual data engine that turns raw video from autonomous vehicles and robots into structured datasets, edge case detection, and training data. Awesome to lead this round with so many great investors already around the table. The Blue Energy team is truly world class, the demand is massive, and the tailwinds couldn't be stronger. But those are table stakes. I have the battle scars from managing and executing various contracting vehicles, and I can definitively say that Blue Energy's shift from Cost Plus/Time and Materials to Firm Fixed Price is not a minor contracting strategy change, it's absolutely tectonic in this industry. Seed Stage Venture Debt? Most early founders think venture debt is something you raise at the Series B or later. It is seen as something you layer on once the business is fully “bankable” and later stage. But what if this paradigm is limiting growth for early stage companies? And what if founders can utilize a flexible product at the early stages to reduce dilution? At Top Corner we see it differently: - We underwrite The Founder and to enterprise value, not formulaic metrics - We believe debt can work much earlier, typically right after product-market fit (Seed/Series A) - Our debt is designed to support founders, not constrain them - Our structures are flexible, with none of the traditional debt mechanics that weigh down early stage founders (financial covenants, MAC defaults or investor support clauses) - Our process is fast (think weeks, not months) - Our capital is significantly less dilutive than equity, but can be used just like a dollar of equity: to hire, build, experiment and scale When used for growth, debt can help teams hit more milestones and empower founders to raise their next round on stronger term, all while preserving meaningful ownership for both founders and early investors. A recent example: Top Corner partnered with NxLite in February 2025, providing Seed stage debt capital that allowed the company to acquire critical equipment and fully prepare its 45,000 squarer foot production facility prior to raising additional equity. NxLite produces advanced coatings for windows and transparent barriers that dramatically reduce energy consumption and support a more sustainable built environment. With this early capital, NxLite achieved production capacity to serve a strong roster of Fortune 500 enterprises, creating a strong foundation for its next phase of growth. Hexcel Adds Independent Director in Deal With Activist Investor "Hexcel added a new independent director to its board in a move that avoids a potential proxy fight for the aerospace materials company with activist investor Vision One Fund. "As part of an agreement between the two sides, Vision One will withdraw their nominees to the board that were to be voted on at the company's annual shareholder meeting. Vision One will also support Hexcel's board nominees, and agree to certain standstill restrictions and mutual non-disparagement provisions, according to a filing with the Securities and Exchange Commission on Wednesday. "The new director, former Kaman Chief Executive Officer Neal Keating, was appointed effective Tuesday." Keating's experience in aerospace may make him an ideal director choice. Yet from a bigger picture perspective, I wonder if this settlement is the right move for investors. More and more activist campaigns are settling rather than running the full process of a proxy fight with typically a greater number of directors nominated by the activist.
