Heather Wyckoff shared this🔧 Building a 3c7 fund that flips to a registered fund...? 🍝 Lots to noodle & looking forward to discussing key terms and considerations with my fellow panelists this afternoon at SS&C Technologies' Deliver 2026 ❓ Help, there should be a good industry-jargon nickname for these funds - "seed-and-switch"? Drop a comment below if you've got a fun idea that needs to go viral. It doesn't need to be on the level of "side pockets" - although whoever thought of that was *chef's kiss*Heather Wyckoff shared thisOn September 21, Alston & Bird partner Heather Wyckoff will speak on the panel "Converting Alternative Fund Structures: From 3(c)(7)s to Interval Funds and Bonus Share Classes" at the 2026 SS&C Deliver Conference. This discussion will include best practices when establishing a private fund designed for conversion to a registered fund, and key terms and trends for issuing bonus shares. Heather Wyckoff liked thisCross-border mandates do not happen in silos. They require immediate, coordinated alignment across specialized practice disciplines. Taking on this role is an opportunity to deepen how we connect international clients and referral partners directly into our national practice groups. I wanted to personally thank Lynn McGrade for laying the foundation over th last two years and David Di Paolo, our national business leaders and our practice group leaders for their trust and partnership. I will be in Copenhagen next week for the IBA Annual Conference alongside our BLG delegation. If you are attending, let’s find some time to connect!Heather Wyckoff liked thisAs Canada continues to attract substantial global capital, navigating cross-border complexity requires direct alignment between international opportunities and specialized legal expertise. We are evolving our international approach. Ryan Tomicic has been appointed national business leader, international, to guide our cross-border client strategy. In this role, Ryan coordinates across our national groups to give international clients, foreign counsel and multinational corporations single-window access to specialized Canadian counsel across complex transactional, regulatory and dispute matters. Ryan and the BLG delegation will connect with global peers at the International Bar Association (IBA) Annual Conference 2026 in Copenhagen from Oct. 4 to 9. 🔗 Read the full announcement: https://lnkd.in/g4iP3dbq

Heather Wyckoff liked thisSo grateful to everyone who joined us. Hosting this with David Grimes and my other Alston & Bird colleagues was an honor, made special by the clients and friends who showed up, and showed up big! Looking forward to many more like it!Heather Wyckoff liked thisWe were pleased to host clients and friends on Long Island's North Fork for Harvest & Tide, an event celebrating the region's agricultural and coastal heritage. From a hayride through McCall vineyard and learning about the farm's Charolais cattle, to an oyster education with local oysterman Davy Jones and a seaside dinner by Chef Finn O'Hara of Silver Sands, it was a memorable way to experience the people, places, and traditions that make the North Fork a remarkable place. Thank you to everyone who joined us for this celebration of the region and the community that helps shape it. We look forward to next year.

The O.H.I.O. Fund-backed capital will support OCTAD Capital Partners as it adds OMNI Manufacturing Services, Inc in St. Marys and Die-Matic Corporation in Brooklyn Heights to a platform that already included six metal stamping companies, more than 400 employees and roughly $300 million in combined revenue. The strategy: acquire long-standing Ohio manufacturers, preserve their industrial base and invest in the systems, operations and growth needed for their next chapter. ✅ The full OTN story >> https://lnkd.in/gpkQuH68 OhioX | Ohio Tech Events

SEC Considers Interval Fund Rule Changes,” which is about a potential U.S. Securities and Exchange Commission proposal allowing interval fund sponsors to offer investors monthly liquidity without first seeking permission from the regulator. Blake mentioned that sponsors want their interval funds to run on the same monthly cadence as the tender offer funds and BDCs they offer through the same wirehouse platforms. “This is viewed as really more modernization...more so than dispensing with investor protections or fundamental components of the rule,” he added. Ropes & Gray asset management partner Chelsea Childs was featured in The Hedge Fund Law Report discussing the SEC’s Accounting and Disclosure Information 2025-16 (ADI), which outlines staff expectations for registered closed-end funds investing in private funds. Chelsea noted that growing retail demand for exposure to venture capital, private equity, infrastructure, and real estate is prompting many alternative fund managers to consider launching registered products or partnering with managers experienced under the Investment Company Act. She also highlighted the SEC’s heightened focus on layered fees and clear, comprehensive disclosures, particularly for new funds undergoing staff review. As she explained, “The staff is going to want to be satisfied that the registered fund is providing sufficient disclosure on all the items listed in the ADI. And, if they’re not satisfied, then they may not be willing to declare the registered fund’s registration statement effective.” Learn more: https://lnkd.in/evCg92rF

A U.S. District Court in New Jersey has dismissed with prejudice all CFTC claims against Arthur J. Dembro, a New York-based CFO and M&A finance executive, marking a complete and permanent legal victory after nearly five years of litigation. Judge Evelyn Padin entered the dismissal order on July 15, 2026, following the CFTC's own motion to withdraw rather than proceed to trial. No liability was found, no settlement was reached, and Dembro made no admission of wrongdoing. 'This is the best possible outcome, and it is a complete and permanent resolution,' Dembro said. With the matter conclusively resolved, Dembro — whose career spans Big Four advisory roles at Ernst & Young, Grant Thornton, and KPMG — says his full focus returns to his clients and professional work. #CFTC #Finance #Leadership Read the full story in the comments.
