Rebecca Rettig shared thisOur financial markets are evolving at a shockingly rapid pace -- there are no longer distinct categories that are simply traditional finance or decentralized finance. A new category has emerged -- "onchain finance" -- that pairs the benefits of public blockchains open to everyone on identical terms, with a feature familiar to every traditional financial institution: trust, meaning a company that customers rely on to stand behind the product. This new category competes with Wall Street on its own terms. Onchain finance is bringing in a new wave of investors and market participants who are young, global, and accustomed to markets that never close. They are the customers of the financial giants of the future, and those giants will be whichever firms meet them where they are. Congrats to our client Phantom, and thanks to their phenomenal in-house team for making this one easier for us.Rebecca Rettig liked thisMorrison Cohen Secures Arbitration and Dismissal of Claims Against Phantom Technologies in Digital Assets Dispute On September 28, Morrison Cohen secured an order compelling arbitration of one plaintiff’s claims, and dismissal of the remaining plaintiffs’ claims, against our client, Phantom Technologies Inc., arising from the alleged theft of approximately $500,000 in digital assets from a cryptocurrency wallet. The Court held that the plaintiff agreed to Phantom’s Terms of Service, including a valid and enforceable arbitration provision, when he created and used his Phantom wallet. The Court also rejected the plaintiff’s attempted opt-out of arbitration as untimely and noncompliant with the Terms of Service. The Court further held that the remaining plaintiffs lacked standing to pursue claims against Phantom because they did not allege that they had accounts with, interacted with, or relied on representations by Phantom. The Morrison Cohen team was led by Jason Gottlieb, Daniel Isaacs, Will Roth and Emma McGrath. The decision was covered by Law360. Rebecca Rettig liked thisRebecca Rettig liked thisProud to share a big win for our client and for Illinois' digital asset community 🎉 Following the lawsuit brought by The Digital Chamber and Illinois Blockchain Association the State of Illinois has agreed to delay its Digital Asset Tax from January 1 to July 1, 2027, while our challenge on the merits continues. For businesses across the industry, that means not having to pour money into costly compliance systems for a tax we believe is unconstitutional. This is also a moment for Illinois builders, founders and innovators to keep building here. Illinois has the talent, the universities, the financial markets and the community to lead in #digitalassets, and the law should support that growth, not drive it out of state. But a delay is not a repeal. We'll keep litigating until this tax is struck down for good. It has been a privilege to represent The Digital Chamber in this fight, and I'm grateful to my Bellementis PLLC colleagues Teresa Goody Guillén and Angela Papalaskaris for their stellar work on the case! In an interpretive letter on Tuesday, the Office of the Comptroller of the Currency (OCC) clarified that banks could engage in some permissible activities related to paying crypto-asset network fees. The “Interpretive Letter 1186” stated that a national bank can pay blockchain network fees, otherwise known as gas fees, for permissible transactions and hold crypto amounts on the balance sheet required to pay gas fees for which the bank reasonably projects a future necessity. The letter specifically permits banks to hold as capital, crypto assets to be used as “transaction fees on distributed ledger technology networks.” However, the OCC emphasized that the letter is a response to an earlier request and does not particularly proscribe any activity involving “holding crypto assets as principal” as part of banking business. According to the OCC, such permissible testing ensures the fidelity of the bank's control systems, its security, and its ability to abide by applicable rules and regulations. zerohash, an embedded crypto and stablecoin infrastructure provider, has submitted an application to the US Office of the Comptroller of the Currency (OCC) for a national trust bank charter. Stephen Gardner, Zerohash's chief legal and compliance officer, describes the move as a "natural next step in offering robust global licensing coverage and continuing to expand our product offering". Zerohash, founded in 2017 by CEO Edward Woodford, provides API-driven technology for crypto, stablecoin, and tokenised asset solutions. Its platform enables its clients, such as Morgan Stanley, Stripe, and Franklin Templeton, to develop solutions for cross-border payments, trading, remittances, and other use cases.
