Alex Pattis reposted thisAlex Pattis reposted thisWhy we bid $12.5 million for Spirit Airlines’s data: As you may have seen in the news, we are aiming to acquire the Spirit operational data. We'd like to transparently & directly explain why. The future of AI is a bet on two things: the messiness of the real world and the brilliance of the humans working inside it. The combination of these two things results in a new dimension of scale called realism. Realism is the most significant thing that has ever happened to model training. It’s what lets RL environments and tasks match the conditions a model is deployed into. The limit is the real world itself. But the real world is also dynamic. It grows with a company and shifts as operations evolve. There is not a binary scaling of entering the real world. Realism keeps scaling as long as real work keeps happening. As a data lab, we want this data to benefit the entire AI ecosystem, while ensuring labs that we partner with for this data, agree to strict privacy obligations. This includes keeping the data away from labs outside of U.S. and U.S-allied countries. Our mission is to push the frontier in novel ways, with a human & privacy first approach. To do that, we've bid on a portion of Spirit’s Airline’s non-sensitive operational data. Effectively scaling realism requires de-identification as a core competency. Very few organizations can do this. We believe the few that can have an obligation to act transparently. That’s why we’ve made binding commitments. We will prohibit re-associating the data and will not profile any former employee. We’re paying for an independent data ombudsman to review the data and how we use it. Furthermore, our offer aims to create net new opportunities for as many as we can from the 17,000+ former Spirit employees. We’re providing former Spirit employees preferential access to paid human data roles on our platform, along with free access to our AI training and reskilling curriculum. These commitments bind us to spending at least $1M. That is just the minimum. It’s entirely possible we spend orders of magnitude more than $1M working with and training former Spirit employees to help define the frontier. We think this transaction will set the terms for how data like this changes hands from here. Those terms should be worth copying.

The agreement represents the potential to deploy the NVIDIA Vera Rubin platform with up to 100,000 NVIDIA GPUs, with an initial commitment of $3.5 billion of compute. Nscale becomes Figure's preferred compute provider and a shareholder in the company. Physical intelligence is AI's next frontier, and it runs into the same constraint as everything else in AI: compute. Figure's Helix models get more capable with more of it. 10 Key Factors for HealthTech and MedTech founders to consider in today's M&A market environment (Part 2) 6. Alignment with Value-Based Care (VBC) 🤝 Healthcare is shifting from fee-for-service to VBC. Companies that enable this transition (e.g., remote patient monitoring, population health, chronic disease management) are strategically valuable to payers and providers. Founder Focus: Frame your solution in terms of how it reduces costs and improves patient outcomes, directly supporting a VBC model. 7. Scalable Processes and Management Team Depth 👥 Buyers assess "key person risk." Over-reliance on the founder for key client relationships or daily operations raises concerns about post-acquisition sustainability. Founder Focus: Build a strong second-tier management team and document repeatable Standard Operating Procedures (SOPs). Prove the company can run and scale without the founders' constant involvement. 8. Interoperability and Data Monetization Strategy 🔗 The ability to seamlessly integrate with Electronic Health Records (EHRs) and other systems (interoperability) is crucial. Companies with clean, actionable data that can be ethically leveraged (monetization) command higher multiples. Founder Focus: Prioritise API development and integration capabilities. Demonstrate a clear, compliant strategy for how your data creates additional value. 9. Customer Concentration and Acquisition Costs (CAC) 🎯 High customer concentration (revenue dependent on one or two clients) signals a major risk to a buyer. Low Customer Acquisition Costs (CACs) are a key profitability driver. Founder Focus: Diversify your customer base to reduce concentration risk. Optimize your sales and marketing process to prove an efficient, scalable, and low CAC model. 10. Understanding Alternative Deal Structures 💰 To bridge valuation gaps between buyers and sellers, alternative structures are becoming common. These include earn-outs (additional payments based on future performance) and royalty/licensing agreements. Founder Focus: Be prepared to negotiate a portion of your deal value into an earn-out structure, especially if a buyer is cautious about future revenue projections. At Bread and Butter Ventures, we're in our 7th year of investing in digital health. I've been hearing a lot of feedback lately from both funds and founders alike that VC funding for tech-enabled care delivery is fewer and far between these days. I'm super bullish on tech-enabled care as a component of a digital health portfolio because I believe that true, lasting innovation will be driven by bottoms-up early stage innovation responding to top-down industry pain points, and that to innovate we must have distribution through the incumbent plumbing of the healthcare system - and that includes care at the center. Yes, the margins are lower than pure software, but the distribution network of healthcare is very different than pure B2B. We're super interested right now in: ✅ Applications of AI to in infrastructure and operations of health care systems, provider networks, health plans to reduce manual work and enable everyone to operate at their best and highest use ✅ Applications of AI to clinical decision support and ultimately care delivery ✅ Solutions that address population health and help with access to care in both rural and urban settings (both from a care & cost perpspective), cardiometabolic health, women's health (still wildly uninvested opportunities to serve half the population), eldercare ✅ Insurtech, fintech and the payments layer of healthcare We would love to connect with more co-investors at all stages (pre-seed, seed, later stage) who are actively investing in digital health and specifically at tech-enabled care solutions to drive the next generation of healthcare innovation. Some quick and candid / not just bullish observations on AI in digital health, especially given the enormous level of noise at #JPM2026. Last (5th) post in the 5-on-5 series, opening 2026 with 5 different pieces with 5 observations each on the market for digital health founders. We are passed the hype phase. I actually think 2026 will be the year when saying 'AI' or 'Agentic' will raise more questions than applause. Too many pilots are not scaling, too many promises are yet to be fulfilled. When building a product takes less time, the path to commoditization also takes less time. Scribes, chart summarizations, etc. which leads IMO to NRR being much more important than ARR (show you are resilient to price pressure and churn) Most real impact of AI is on the back end of new companies. This is massive and hence any budget that looks similar to 2023 / 2024 or even 2025 budgets should render a very serious question As a byproduct, and unlike 2021, increased head count becomes a negative signal if the company is indeed AI-centered (proxy to inefficiency) And another key difference from 2021: raising a lot of money (with a big valuation) while the public market is at best open for high 9-digit revenue, is really playing very aggressive poker.
