Greg Bilotta shared thisI’ve had a lot of conversations with business owners where the assumption is, “When I’m ready to sell, that’s when the process starts.” I understand why people think that...but it’s usually not how this works. In reality, the process starts much earlier. It starts with the financials. It starts with how involved the owner is day to day. It starts with whether the business can operate without everything running through one person. It also starts with customer management, employee stability, the lease, equipment, contracts, add-backs, and all the details a buyer is eventually going to ask about. A buyer is not just looking at profit. They are looking for a complete snapshot of confidence. Can the numbers be supported? Will the customers stay? Will the employees stay? Can the owner transition out of the business? Does the story being told match the numbers and the details behind it? That last part matters more than many owners realize. A business can be profitable and still be difficult to sell. Not because it lacks value, but because the value is hard for a buyer to verify. That can be frustrating for an owner. I get that. They know what they built. They know the years of risk, sacrifice, relationships, long days, and problem-solving it took to get the business where it is. But a buyer cannot buy the owner’s memory of the business. They have to buy what can be explained, supported, transitioned, and financed. That is why preparation matters. Before a business goes to market, there should be a real look at what a buyer is going to care about. What are the strengths and weaknesses? What needs to be cleaned up? What story do the numbers actually tell? Sometimes the answer is, “You’re ready.” Sometimes the answer is, “You have a good business, but you’d be better served taking six months or a year to tighten a few things up.” Either answer is valuable. ***For the advisors here, CPAs, attorneys, wealth advisors, consultants, and lenders, where do you most often see business owners get caught off guard when they first start thinking about a transition?*** #businessowners #businessbrokerage #mergersandacquisitions #sellsideadvisory #businessvaluation #successionplanning #sellyourbusiness

We were there to visit a plaque that my aunt arranged in honor of my grandparents. It was a simple moment. But it stayed with me. Growing up, we used to visit a cottage my grandfather built. I was very young when he passed, but I think about him every time I go back there. What I remember most is what that little cottage felt like. Multiple families. Way too many adults and kids crammed into a space that was probably never meant to hold all of us. Loud. Chaotic. Full. Those are the memories I carry. My grandmother made sure we kept showing up there together, year after year. Standing at that plaque last weekend, I was reminded of something I think about often in my work. The legacy you leave is about so much more than finances. It is about how people remember you. The cottage my grandfather built with his hands is still standing. So are the memories. What do you do to honor the loved ones who are no longer with you?

I really appreciated the invite to attend the Destination Dayton Ambassador Awards and witness the people behind the scenes making things happen across our region. Sports tourism. Conventions. Museums. Hospitality. Community partnerships. A lot of folks do not realize how much effort goes into bringing energy, visitors, and opportunity into Dayton. Packed hotels. Busy restaurants. Events at UD Arena. Families exploring places like the Boonshoft Museum of Discovery. That stuff matters. Dayton may not always be the flashiest city in the room, but there is something LOWD about the people here. Builders. Workers. Problem solvers. People who care deeply about this community and keep finding ways to move it forward. Personally… I kinda like that. Keep Dayton LOWD.

I was privileged to introduce Nick before his induction, and it was a special opportunity to reflect on the impact he had on our team, our school, and everyone around him. Nick was a Yale graduate and now is a father, husband, and football coach! Nick was the type of leader every program hopes to have—someone who led by example both on the field and in the classroom. His work ethic, character, and commitment to excellence earned the respect of teammates, coaches, teachers, and classmates alike. The evening also doubled as wonderful reunion. It was great to reconnect with old classmates, family friends, and many of the coaches who helped shape us into the people we are today. Being surrounded by some of the greatest coaches and mentors we’ve had the privilege to learn from was a reminder of how fortunate we were to be part of such a special community (there’s no better place in the world than Fairfield College Preparatory School lol) Congratulations, Nick, on this well-deserved recognition. It has been difficult for me to fully articulate what my nearly 15 years at C&W have meant to me. The word I keep coming back to is gratitude - for the years of mentorship and training, the friendships and laughter, the opportunities to lead in my own way, and the young lawyers I have been fortunate to mentor. My colleagues and the experiences we shared have shaped both the person and the practitioner I am today. I first met Matt Gilchrist and EG Home in 2021 as a client of the firm. Since then, I have had the privilege of not only learning about EG’s business, but also the exceptional people behind the business and their shared commitment to the company's goals and core values. The opportunity to join EG and build out a brand new legal function felt like the right move at the right time. Thank you to my new colleagues for making me feel like part of the team from day one. My father spent 35 years at NCR before he retired. While he was unable to attend today's events, I was proud to attend on his behalf and take his message of gratitude and well wishes to Paula. NCR was instrumental to Dayton's transformation into an industry powerhouse and this archive is a fitting way to further preserve that rich history.

Zak Prevost holds a Master’s in Civil Engineering from the University of Mississippi, while Allen Gearhart earned his engineering degree from Mississippi State University. Their technical backgrounds, combined with years of hands-on industry insight, make them uniquely qualified to help lead Matrix Arms into its next phase of development. Prevost and Gearhart, already business partners for over 10 years have successfully operated Midstate Firearms an online firearms retailer since early 2014. Matrix Arms will continue to operate as a privately owned business under Farris’ majority control, with no changes to its leadership philosophy or commitment to delivering innovative American-made firearms. “This partnership reinforces the company’s momentum and lays the foundation for expanded opportunities. We have many more exciting announcements coming in the next couple of months, including new product releases, new hires, the launching of our largest retailer to date, and even the grand opening of our showroom and retail storefront in Claremont, New Hampshire” said Farris.
